Welcome to Coordy CRM ("Coordy," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of the Coordy platform, website, software, services, applications, communication tools, and related systems (collectively, the "Services"). By creating an account, accessing the platform, or using any portion of the Services, you agree to be bound by these Terms.
You must be at least eighteen (18) years old and legally capable of entering into binding agreements to use the Services. If you are using the Services on behalf of a brokerage, company, or organization, you represent that you have authority to bind that entity to these Terms.
Coordy provides software tools and operational systems designed for real estate professionals and organizations, including but not limited to:
Coordy is a software platform only and is not a real estate brokerage, law firm, title company, escrow company, lender, financial advisor, or legal advisor. Users remain fully responsible for their own legal, regulatory, contractual, and licensing obligations.
Certain features of the Services may utilize artificial intelligence ("AI") to assist users with productivity, workflow automation, content generation, summarization, reporting, and operational insights. AI functionality is intended solely to assist authorized users in using the Services and does not replace professional judgment, legal advice, brokerage supervision, or regulatory compliance obligations.
You are responsible for maintaining the confidentiality of your login credentials, all activity occurring under your account, and ensuring your account information remains accurate.
You agree not to:
Coordy may suspend or terminate accounts suspected of abuse, fraud, unauthorized access, or violations of these Terms.
Brokerages, admins, and organizational account owners may manage user access, configure permissions, view operational activity associated with their organization, and remove or suspend affiliated users.
Users associated with a brokerage or organization acknowledge that certain operational data may be visible to authorized administrators within that organization.
The Services may include internal messaging, email integrations, SMS communications, notifications, and calling or communication features through third-party providers.
You are solely responsible for compliance with communication laws, consent requirements, opt-in and opt-out compliance, TCPA, CAN-SPAM, and related regulatory obligations.
Messaging and calling functionality may rely on third-party providers such as Twilio, Google, Microsoft, or similar providers.
Some features may rely on MLS, IDX, or third-party data providers.
Access to MLS/IDX-related features may require active MLS membership, broker approval, vendor approval, or additional agreements.
Coordy does not guarantee availability of MLS data, accuracy of third-party data, continuous access to integrations, or approval by any MLS organization.
MLS rules, restrictions, display requirements, licensing obligations, and compliance responsibilities remain the responsibility of the user and/or brokerage.
Coordy does not modify, redistribute, or use MLS data beyond the permissions granted by the applicable MLS or its licensing agreements. All MLS information displayed or processed through the Services will be handled in accordance with applicable MLS rules, IDX policies, and licensing requirements.
Coordy may provide document organization, workflow coordination, document preparation, and electronic signing-related functionality.
Documents uploaded or created through the Services may be stored within a supported cloud storage provider selected and connected by the customer or their organization.
Coordy does not review the legal sufficiency of documents, provide legal advice, guarantee the enforceability of agreements, or assume responsibility for user-generated content or document accuracy.
Users are solely responsible for reviewing all documents before execution or submission.
Coordy stores account information, CRM records, operational metadata, communication logs, analytics data, and platform configuration data necessary to provide the Services.
Documents and files uploaded through the Services are stored within a supported third-party cloud storage provider selected and connected by the customer (such as Microsoft OneDrive or other supported providers), rather than on Coordy's primary infrastructure.
Customers retain ownership and control of their connected storage account and are solely responsible for maintaining the security, access permissions, backup policies, retention settings, compliance obligations, and overall protection of their selected storage provider.
If a customer disconnects, revokes authorization to, deletes, or otherwise removes access to their connected cloud storage provider, documents stored within that provider may become inaccessible through the Services. Coordy is not responsible for restoring, recovering, or replacing documents that are deleted, removed, or become unavailable as a result of actions taken within the customer's selected storage provider.
Coordy accesses customer documents only as necessary to provide requested platform functionality and does not assume responsibility for the availability, security, backup, retention, or recovery of files stored within third-party cloud storage services.
While Coordy implements commercially reasonable safeguards to protect platform data, no technology platform can guarantee absolute security.
You agree not to:
Coordy reserves the right to investigate and remove content or accounts violating these Terms.
All platform software, branding, design, workflows, systems, graphics, and proprietary functionality are owned by Coordy or its licensors.
You may not copy, resell, reverse engineer, redistribute, or replicate the platform or its systems without written authorization.
Users retain ownership of their own uploaded content and data.
Users may not copy, recreate, reproduce, imitate, reverse engineer, commercially exploit, or develop derivative works based on Coordy's platform, systems, workflows, architecture, operational structures, interface designs, automation logic, business processes, proprietary methods, or platform features.
This restriction includes, but is not limited to:
Any unauthorized replication, reproduction, or competitive misuse of the Services, platform architecture, or proprietary systems may result in immediate termination of access, legal action, and claims for damages and injunctive relief.
All platform systems, workflows, operational structures, software logic, branding, and related intellectual property remain the exclusive property of Coordy CRM and its licensors.
Certain Services require paid subscriptions.
By subscribing, you agree to pay applicable fees, acknowledge that fees may recur automatically unless canceled, and understand that pricing may change with reasonable notice.
Failure to pay may result in account restrictions, suspension, or loss of access to features.
Unless otherwise stated, payments are non-refundable and partial billing periods are not prorated.
Coordy integrates with third-party services including email providers, calendars, cloud storage providers, communication systems, MLS systems, electronic signature providers, AI services, and other supported integrations.
Use of these integrations requires authorization by the customer and may also be subject to the applicable third-party terms and conditions.
Coordy is not responsible for outages, API failures, service interruptions, policy changes, or data inaccuracies caused by third-party providers.
Coordy may provide artificial intelligence ("AI") features designed to assist authorized users with productivity, workflow automation, document organization, communication drafting, reporting, summarization, and operational insights.
AI features operate solely to assist users in using the Services and do not independently make legal, financial, brokerage, or regulatory decisions on behalf of users.
Coordy does not use customer CRM data, documents, communications, transaction information, or MLS/IDX data to train general-purpose artificial intelligence or machine learning models for commercial distribution.
Where AI interacts with MLS/IDX information, it does so solely to assist authorized users in accessing or understanding information made available under applicable MLS licensing agreements. AI does not modify, redistribute, republish, or use MLS/IDX data beyond the permissions granted by the applicable MLS, IDX provider, or licensing agreement.
We strive to maintain reliable uptime but do not guarantee uninterrupted service.
The platform may experience maintenance windows, infrastructure outages, service interruptions, or failures of third-party providers.
Coordy is not liable for losses caused by downtime, delays, or interruptions.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COORDY DISCLAIMS ALL WARRANTIES, INCLUDING:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COORDY SHALL NOT BE LIABLE FOR INDIRECT DAMAGES, LOST PROFITS, LOST COMMISSIONS, LOST DATA, BUSINESS INTERRUPTION, OR CONSEQUENTIAL DAMAGES.
Coordy's total liability shall not exceed the amount paid by the user to Coordy during the twelve (12) months immediately preceding the claim.
You agree to indemnify and hold harmless Coordy and its affiliates from claims, damages, liabilities, and expenses arising from:
Coordy may suspend or terminate access at any time for violations of these Terms, fraudulent activity, security risks, non-payment, or abuse of the platform.
Users may discontinue use of the Services at any time.
Coordy may update these Terms periodically.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any disputes shall be resolved in the appropriate courts located within the State of Florida.
